Terms & Conditions

This is a plain-language draft for review by the business and its legal adviser. It is not yet legal advice and may change before launch.

1. Who we are

DepotIQ ("DepotIQ", "we", "us") is a hire-management software service operated by Navrix Solutions (Pty) Ltd, a company registered in the Republic of South Africa. You can reach us at admin@depotiq.co.za.

2. The service

DepotIQ is a subscription, browser-based ("software-as-a-service") platform that helps tool, plant and equipment hire businesses manage quotes, hires, sales, repairs, assets, customers and invoicing. DepotIQ works in any modern web browser, including on phones and tablets. A dedicated native mobile app is in development and is not part of the service today.

3. Accounts & access

• You are responsible for keeping login credentials confidential and for all activity under your accounts.
• Each paid user is a named individual. Driver and mobile-only logins are provided free and do not count towards your paid user total.
• You must tell us promptly if you believe an account has been compromised.

4. Fees, billing & VAT

• Fees are charged per paid user, per month, and are quoted excluding VAT. South African VAT is added where applicable at the prevailing rate (currently 15%).
• A two-user minimum applies. Annual plans are billed for the year; monthly plans are billed each month.
• Published prices and any promotional rate (for example a founding-member rate) are set out on our pricing page and in your order. Where a rate is described as "locked", we will honour that rate for the stated period.
• Late or unpaid invoices may lead to suspension after reasonable notice.

5. Your data

The business records you enter (customers, assets, contracts, invoices and related documents) remain yours. We process them to provide the service, as described in our Privacy / POPIA Policy. We do not sell your data. You may export your data and may request deletion on termination, subject to records we must retain by law.

6. Acceptable use

You agree not to misuse the service — including attempting to breach security, interfere with other tenants, upload unlawful content, or use the service to break the law. Each customer's data is isolated from every other customer's data.

7. Availability & support

We aim to keep DepotIQ available and to apply updates, fixes and support as part of your subscription. We may carry out maintenance and will give reasonable notice of anything likely to cause significant disruption where we can.

8. Liability

Nothing in these terms limits liability that cannot be limited by South African law. Subject to that, our total liability arising from the service is limited to the fees you paid in the three months before the event giving rise to the claim, and we are not liable for indirect or consequential loss. DepotIQ is a tool to support your business decisions; it does not replace your own legal, safety or accounting responsibilities.

9. Term & termination

Subscriptions continue until cancelled in line with your plan. Either party may terminate for material breach that is not remedied within a reasonable period after notice. On termination you may export your data for a reasonable window before it is removed.

10. Consumer rights (CPA / ECTA)

Where the Consumer Protection Act 68 of 2008 (CPA) and the Electronic Communications and Transactions Act 25 of 2002 (ECTA) apply, your statutory rights are not excluded by these terms, including any applicable cooling-off rights for electronic transactions.

11. Changes & governing law

We may update these terms and will post the current version here with a revised date; material changes will be communicated. These terms are governed by the laws of the Republic of South Africa, and the South African courts have jurisdiction.
